Bizonic Hub Agreement

SERVICE AGREEMENT

This Agreement is made

Between

Bizonic.com Limited (Bizonic);

And

You as a member (Member).

The parties agree as follows:

1. Bizonic agrees to provide online Internet website to Member for advertising and promoting its electronic components ("the Products") for the purpose of selling the Products to customers. ("the Service").
2. This Agreement will have effect for a period of a year. Either party may terminate this Agreement without cause before expiry of the Term by giving to the other party not less than thirty (30) days' written notice.
3. Member shall pay Bizonic Service Fee in accordance with Schedule 1 attached hereto. [Payment is due immediately after date of invoice.] Bizonic agrees not to charge Member for the first month Service.
4. All Services provided by Bizonic may only be used for lawful purposes. All contents must be accurate complete and true and will not be illegal and unlawful. Transmission or storage of any information, data or material in violation of Hong Kong law or any other applicable laws is prohibited. The following nature of materials are prohibited:
   1. Illegal : This includes, but is not limited to copyrighted works, commercial audio, video or music files or gambling and any threatening, obscene, immoral, inappropriate, vulgar, offensive, defamatory material in violation of any laws or material protected by trade secret and other statute.
   2. Pornography: Pornography erotic images or otherwise lewd and or adult material or sex-related contents are prohibited.
   3. Spamming: Spamming, or the sending of unsolicited email, from a Bizonic's server and /or using an email address or domain name in a spam that is maintained on a Bizonic's machine is STRICTLY prohibited.
   4. Warez : Includes pirated software, ROMS, emulators, phreaking, hacking, password cracking. IP spoofing, etc., and encrypting of any of the above.
5. All information provided by Member shall not be false, inaccurate, misleading, fraudulent or violate any laws, regulations or ordinances.
6. Member agrees that it shall defend, indemnify, save and hold Bizonic harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees asserted against Bizonic, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Member, its agents, employees or assigns through the Service of Bizonic. Member agrees to defend, indemnify and hold harmless Bizonic against liabilities arising out of; (1) any injury to person or property caused by any products sold or otherwise distributed in connection with this Agreement; (2) any material supplied by Member infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from or through server of Bizonic.
7. Bizonic also disclaims any warranty or merchantability or fitness for a particular purpose in respect of the Service. Bizonic will not be responsible for Member for any damage suffered, which includes loss of data resulting from delays, non-deliveries, misdeliveries, or service interruptions caused by server of Bizonic, errors or omissions of Bizonic. Bizonic specifically denies any responsibility for Member for the accuracy or quality of information obtained through its Service.
8. Bizonic may terminate this Agreement with immediate effect if Member fails to pay on due date or breach any of the terms of this Agreement. Upon termination, Bizonic has the right to delete all data, files or information that is stored in Member's account with Bizonic.
9. Termination of this Agreement whether upon or before expiry of the Term for any reason whatsoever shall be without prejudice to the accrued rights of the parties.
10. No agency, partnership, joint venture, employer-employee relationship is intended or created by this Agreement.
11. The terms of this Agreement may only be amended by written agreement signed by both parties.
12. Any waiver by either party of a breach of any provision of this Agreement shall not be considered as a waiver of any subsequent breach of the same or any other provision thereof.
13. All notices permitted or required by this Agreement shall be given in writing and sent to the address of the recipient set out above. Notices shall be hand delivered or sent by mail, courier or facsimile. If hand delivered or sent by courier, a notice will be effective on the date of receipt and, if sent by facsimile, on the date of transmission and, if by mail, two days after being posted.
14. Should any provision of this Agreement be declared invalid or unenforceable by a court of the Hong Kong Special Administrative Region of the People's Republic of China ("HKSAR"), such provision shall be severed from this Agreement and the remaining provisions shall not be affected and will continue in full force and effect.
15. This Agreement shall be governed by, and construed in all respects in accordance with, the laws of HKSAR. Both parties agree to submit to the non-exclusive jurisdiction of the courts of HKSAR.
